Please read the terms below before signing. Use of a Mobile Systems Limited credit account constitutes acceptance of these terms.
1. Price
The price for goods or services is Mobile Systems Limited's ("MSL") current list price or quoted price at the date the order is accepted. Delivery costs are charged separately.
2. Payment
Once a credit account is approved, payment is due within 7 days or by the 20th of the month following the invoice date, as agreed at approval, unless otherwise agreed in writing. Late payment beyond 14 days of the due date may incur penalty interest of 15% per annum, calculated daily, plus any collection and legal costs incurred by MSL.
3. Delivery
Goods may be delivered in instalments, each treated as a separate contract. The Company cannot reject goods or claim damages for delay caused by circumstances beyond MSL's control, and must accept goods delivered within a reasonable time of the stipulated date.
4. Returns
Any dispute over installation or quality of supply must be raised within seven days of supply. Credits for returned goods are at MSL's discretion; a written request within 14 days of dispatch, including invoice copies, is required. Goods must be returned freight paid, in original condition, only once authorised. Non-standard or specially developed products cannot be returned.
5. Ownership and risk
Risk passes to the Company on delivery. Until full payment, the Company must keep goods insured and identifiable, and title remains with MSL. The Company holds unpaid goods as bailee; if sold, proceeds are held in trust for MSL. MSL may enter premises to inspect or recover goods, at the Company's cost, and may take possession without notice if the Company defaults or ceases business.
6. Warranty
Products are warranted free from defects in hardware and workmanship for one year from sale. Warranty claims for discoverable defects must be made within 7 days of delivery, or within 12 months for other defects. MSL may repair, replace or refund at its discretion. Warranty is void if equipment has been subject to unauthorised repair, neglect, misuse or improper installation.
7. Extent of liability
Except as set out in clause 6, MSL is not liable for loss, damage or injury arising from use or failure of the products, and does not warrant fitness for the Company's particular requirements. Goods and services are supplied for business purposes, and the Consumer Guarantees Act 1993 does not apply.
8. Application of the PPSA
MSL may register a security interest in goods supplied under the Personal Property Securities Act 1999. The Company waives its right under s157 of the PPSA to receive notice of verification of registration, and agrees that certain enforcement provisions of the PPSA do not apply, to the maximum extent permitted by law.
9. Export control
The Company warrants that any designs or instructions it provides do not infringe third-party patents or copyrights. Sale of goods confers no rights under MSL's own patents, trademarks or copyrights.
10. Software licence terms
MSL has no obligation regarding software licences included with its equipment, and the Company indemnifies MSL for any breach of those licence terms.
11. Amendment
MSL may amend these terms at any time by written notice; amended terms apply to future orders.
12. Privacy
The Company authorises third parties to provide MSL with information for credit enquiries, and permits MSL to share application and account details with credit reference and debt collection agencies as needed to assess and manage this application and account.
13. Quotes
Once a quote has been provided, any variation must be agreed in writing by both parties before additional work proceeds.
Declaration
By submitting this application, the signatory confirms the information supplied is correct and complete, agrees to promptly advise MSL of any material change, confirms they have read and agree to be bound by these terms and any future variation, and confirms that where more than one applicant applies, each is jointly and severally liable. The signatory authorises MSL and its credit reference agencies to collect and exchange relevant credit information for the purposes of assessing this application and managing the resulting account.
